Integrated Rail & Resources Inc. is an energy infrastructure company focused on unlocking value through the refurbishment and repurposing of its wholly owned refinery asset, strategically located in Vernal, Utah. The facility, originally designed for processing tar sands into asphalt, is currently undergoing a comprehensive modernization program aimed at transforming it into a fit-for-purpose refinery capable of processing waxy crude into a targeted slate of products including liquefied petroleum gas (LPG), Naphtha, Gas Oil, and ultra-low sulfur diesel (ULSD). Once operational, the refinery is expected to play a critical role in alleviating takeaway constraints from the Uinta Basin.

Chief Executive Officer
Mr. Feldott has served as a director of Integrated Rail and Resources Acquisition Corp. since November 2021 and was the Chairman of its Audit Committee. He is currently the Chief Financial Officer at Rise Oil and Gas, a role he has held since January 2023.
Mr. Feldott is a subject matter expert in corporate finance, treasury operations, and accounting. He has excelled at building relationships with investors and bank groups, as well as developing cross-functional corporate teams to achieve success and maximize value while minimizing risk.
Over the past two decades, he has gained extensive experience in corporate finance, treasury, tax, and public accounting within large international public companies. His previous roles include Chief Financial Officer at East Shore Investments from 2019 to 2023, and various leadership positions at Newfield Exploration Company and Newpark Resources Inc. from 2010 to 2019.
As Treasurer at Newfield from 2017 to 2019, he was responsible for tax, corporate finance, treasury, and risk management. During his tenure, he successfully negotiated and raised $2 billion in unsecured capital and led a tax-saving initiative that delivered nearly $50 million in benefits. He also served as the finance integration team leader during the Encana merger, where he oversaw the integration of all finance functions and played a key role in ensuring a smooth transition.
Before joining Newfield, Brian served as Treasurer and Director of Investor Relations at Newpark, an international oilfield services company. From 2010 to 2017, he enhanced the global treasury function by centralizing operations and improving the capital structure, including the issuance of convertible bonds and multiple credit facilities. His work in investor relations resulted in the company gaining Tier-1 analyst coverage for the first time in its history.
Earlier in his career, he was Senior Director of Tax and Treasury at ExpressJet Airlines, where he helped lead the company’s successful spin-off from Continental Airlines and developed its accounting, treasury, and tax departments. He also oversaw the financing of a fleet of 274 aircraft.
Brian is a Certified Public Accountant in the state of Texas. He earned a bachelor’s degree in economics from The University of Texas, an MBA in finance from the University of Houston, and a Master of Legal Studies in Oil, Gas, and Energy Law from the University of Oklahoma.
Chief Financial Officer
Chris Greenwood serves as the Chief Financial Officer of Integrated Rail & Resources Inc. Mr. Greenwood brings extensive executive experience in operational and financial leadership, most recently serving as Chief Operating Officer for the Franklin Group, where he had oversight of 35,000+ third-party managed multifamily units and provided oversight for the corporate team across HR, property accounting, marketing, and IT. Previously, he spent nearly seven years as Chief Financial Officer for Launch That, where he established enterprise corporate governance, developed ownership financial reporting packages and implemented project investment tools.
Prior to his executive roles in Florida and Virginia, Mr. Greenwood spent over a decade in London as Vice President and Investment Director for M3 Capital Partners. During his tenure, he provided strategic oversight for real estate operating companies and led significant private equity advisory and capital raising transactions across Europe and Asia. His earlier career includes investment banking roles with Macquarie Capital Partners and Merrill Lynch participating in M&A, capital, and joint venture transactions.
Mr. Greenwood holds a bachelor’s degree in Accounting and a master’s degree in Finance, both from Texas A&M University.
Chief Operating Officer
Mr. Varela is an energy executive with extensive experience in refining and bioenergy operations, having served as Chief Operating Officer at Fulcrum BioEnergy and as Senior Operations Manager at Delek US. His expertise spans complex refinery management, health and safety oversight, and the implementation of cost-reduction strategies.
At Fulcrum, Mr. Varela led the technical and operational advancement of waste-to-fuel technology, achieving proof of concept and facilitating investor funding. While at Delek, he was responsible for production assurance, turnaround execution, and regulatory compliance at an 85,000 BPD refinery.
Mr. Varela holds a Bachelor of Science in Energy Management and is currently pursuing a Master of Science in Energy from Texas A&M University. Bilingual in English and Spanish, he also holds certifications in sustainable project management and safety.
Chief Development Officer
Prior to joining the company, Mr. Demers served as President and Chief Executive Officer of TC Resource Management Corp., a position he held since January 2021. He previously served as Director of Strategic Development with NTEC Helium, a wholly owned entity of Navajo Transitional Energy Company (NTEC). Before that, he was President of Tacitus, LLC—a helium production company he founded—from November 2016 to February 2021.
Mr. Demers has initiated and led multiple efforts in Washington, D.C., to support the long-term development of America’s untapped and strategic helium and critical mineral resources. He has testified before the Congressional Subcommittee on Energy and Mineral Resources, contributing to the introduction and passage of the Helium Extraction Act of 2017.
Before focusing his efforts on helium, Mr. Demers spent over 15 years as a business leader and entrepreneur in Calgary’s energy and oil & gas production industry. During that time, he founded and served as Chairman of the Association of Accredited Corporations of Alberta, which focused on government and regulatory advocacy related to electrical policy for more than 20 companies in the energy and utilities sector.
Chief Commercial Officer
Mr. Dipaolo is a seasoned attorney and business professional based in Denver, Colorado, with extensive experience across the legal, energy, and consulting sectors. Prior to joining the company, he served as Managing Partner of Dipaolo Law, LLC, where he provided general counsel services to a diverse range of small businesses, handling matters related to contract drafting, mergers and acquisitions, regulatory compliance, and dispute resolution. His clients spanned industries including oil and gas, renewable energy, real estate, and hospitality.
Before launching his legal practice, Mr. Dipaolo held leadership roles in various energy companies, including Partner and General Counsel at HD Energy Holdings and Senior Director at Tallgrass Energy, where he oversaw commercial operations for high-value terminal and pipeline assets. His background also includes entrepreneurial ventures in UAV inspections and product development, along with volunteer service on the Board of Directors for Colorado Animal Rescue, Inc.
Mr. Dipaolo holds a Juris Doctor from the University of Denver, Sturm College of Law, and a Bachelor of Science in Entrepreneurship from the University of Tennessee.
Chief Administrative Officer
Mr. Travis R. Clemins is a combat-proven operational leader with over 20 years of military service and is a retired U.S. Navy Commander, and a FINRA-registered licensed investment banker.
Mr. Clemins has extensive experience leading cross-functional teams resulting in successful kinetic military engagements, executive-level leadership, and managing large scale IT infrastructure projects. Since November 2023, he has held the position of Vice President of Investments for Campfire Capital. His most recent leadership roles include serving as Operations Officer of the Joint Reserve Intelligence Center in Denver representing the Defense Intelligence Agency, from January 2020 to October 2023, and as the Chief Targeting Officer at U.S. Northern Command from January 2017 to January 2020. Previously, he was Officer-in-Charge of the Fleet Intelligence Adaptive Force at the U.S. Navy 5th Fleet Headquarters in Bahrain where he led kinetic strikes in response to hostile actions against American and allied interests in the Persian Gulf and Red Sea regions. He also previously served as the Intelligence Officer for Naval Special Warfare Unit-10 where he conducted intelligence collection and targeting activities for SEAL Teams deployed throughout Africa.
In the private sector, Mr. Clemins is a registered licensed securities professional and investment banker with the Financial Industry Regulatory Authority (“FINRA”). He holds multiple FINRA licenses, including the Series 7, 63 and 79. Mr. Clemins earned Master’s degrees from both Johns Hopkins University and the U.S. Naval War College, and a Bachelor’s degree from the University of Colorado at Boulder.
Rear Admiral Curt Copley was the Director of Intelligence, U.S. Strategic Command, Offutt Air Force Base, Nebraska. He was the senior intelligence officer and principal intelligence advisor to the USSTRATCOM Commander.
Rear Admiral Copley began his naval career upon graduating from the United States Naval Academy in 1988 with a Bachelor of Science in Mechanical Engineering as an intelligence officer.
His first assignment was to Strike Squadron (HSM) 151, embarked on USS Midway (CV 41). Following sea duty as assistant intelligence officer, Commander, Carrier Group 2 aboard USS John F. Kennedy (CV 67) and USS Harry S. Truman (CVN 75), Copley augmented Commander, 6th Fleet (C6F) just prior to Operation Allied Force. He has also served as Director of Intelligence for a Naval Special Warfare Group and deployed Joint Special Operations Forces. As Commanding Officer, Kennedy Irregular Warfare Center from December 2011 to August 2013, he provided intelligence support to Navy special warfare and expeditionary forces around the world.
Other assignments included duty on the Commander, Strike Fighter Wing Pacific staff, Lemoore, California; Fleet Ocean Surveillance Information Facility (FOSIF), Rota, Spain; Joint Analysis Center (JAC), Royal Air Force Base Molesworth, United Kingdom; U.S. European Command, Stuttgart, Germany; Center of Naval Intelligence, Dam Neck, Virginia; Navy Staff as Information Dominance Corps (IDC) Integration Branch head; U.S. Central Command’s, Director, Joint Intelligence Center and Deputy Chief, Special Collection Operations at National Security Agency, Fort Meade.
Rear Admiral Copley graduated with highest distinction from the College of Naval Command and Staff (CNCS) in Newport, Rhode Island, where he was selected as an Associate Fellow to the Chief of Naval Operations’ Strategic Studies Group XX that developed an implementation framework for Network Centric Operations, FORCEnet. He returned to the Chief of Naval Operations’ Strategic Studies Group XXXIII in September 2013 as a fellow and developed operational concepts for expeditionary operations in 2030.
His personal awards and decorations include the Defense Superior Service Medal, Legion of Merit (two), Defense Meritorious Service Medal (six), Meritorious Service Medal, Joint Commendation Medal, Navy and Marine Corps Commendation Medal (five), Navy and Marine Corps Achievement Medal (three), and Presidential Unit Citation, among other awards and campaign medals.
Rear Admiral Copley was selected to serve as a director due to his extensive experience managing complex projects and high-level operations.
Mr. Reeves has served as a director of Integrated Rail and Resources Acquisition Corp. since November 2022. He brings over 25 years of experience in management, commercial negotiations, logistics, operations, supply chain, and business development. A senior executive with a proven track record, Mr. Reeves has successfully led business units across the energy sector and is recognized as an industry leader in the midstream space.
Prior to joining the company, Mr. Reeves held senior leadership roles at several midstream companies, including Getka (January 2021 to December 2021), Tallgrass Energy (May 2015 to August 2020), and Crestwood Midstream (January 2010 to January 2015).
He holds a Bachelor of Science degree in Business Management from The Citadel and served in the U.S. Army with the 101st Airborne Division following graduation. Mr. Reeves is also active in the community, serving on the boards of several local charities. He was selected to serve as a director due to his deep experience and leadership in the midstream sector.
Mr. Michel has served as Chief Executive Officer and Chairman of Integrated Rail and Resources Acquisition Corp. since November 2022. He previously served as the company’s President and Chief Operating Officer from March 2021 to November 2022, and as Vice Chairman from November 2021 to November 2022.
Mr. Michel is a Managing Partner at the DHIP Group, where he leads the infrastructure line of business, directing equity investments in high-quality assets across the energy, transport, and water/wastewater sectors. He also serves on the advisory board of CommonGood Capital, LLC, a broker-dealer placement agency. His work includes tailoring financing solutions across a broad range of capital needs.
Prior to joining DHIP Group in 2017, Mr. Michel served as Managing Director and Head of Project and Structured Finance at Drexel Hamilton, a full-service institutional investment banking and financial advisory firm, from 2016 to 2019. Before that, he raised capital and structured transactions at Corporate Capital Trust, a $6 billion Business Development Company owned and operated by KKR & CNL.
Earlier in his career, Mr. Michel served in the White House as the Navy’s Representative to the National Security Council in the Situation Room, where he was also a member of the National Security Council staff. He served over 20 years in the United States Navy, achieving the rank of Commander, with a focus in Naval Special Warfare (SEALs), Special Operations, and the Intelligence Community. He held senior-level positions throughout the Intelligence and National Security communities.
Mr. Michel earned a bachelor’s degree in political science from Auburn University and an MBA in finance from the University of Miami Herbert School of Business. He was selected to serve as a director due to his experience leading infrastructure projects in the energy and transportation industries.
Mr. Fisher has served as Vice Chairman, President, and Chief Financial Officer of Integrated Rail and Resources Acquisition Corp. since November 2022. He previously served as Senior Vice President and Chief Acquisition Officer from March 2021 to November 2022, and as a Director from November 2021 to November 2022.
Mr. Fisher is a Managing Partner at the DHIP Group, where he is responsible for originating and directing equity investments in a range of infrastructure assets—both independently and in partnership with operators or co-investors. He also focuses on optimizing capital structures and developing new business opportunities for portfolio companies. Additionally, he serves on the advisory board of CommonGood Capital, LLC, a broker-dealer placement agency.
Prior to founding DHIP, Mr. Fisher was Managing Partner and Head of Investment Banking at Drexel Hamilton, a full-service institutional investment banking and financial advisory firm, where he worked from 2015 to 2020. There, he partnered with private companies to structure capital solutions and raise equity and debt from institutional investors for various purposes including mergers and acquisitions, working capital, capital expenditures, and refinancing.
In 2013, Mr. Fisher transitioned to the buy side as an Assistant MLP Portfolio Manager at Parker Global Strategies, where his fund consistently posted returns well above benchmark. In 2014, he joined a family office to help manage proprietary capital, raise outside funds, and develop new business across the oil and gas, transportation, and specialty finance sectors.
Mr. Fisher previously served as a U.S. Army Artillery Officer, completing three tours in Iraq and earning two Bronze Stars and an Army Commendation Medal with V-Device for valor. He is a graduate of the U.S. Military Academy at West Point and holds an MBA from the New York University Stern School of Business.
Mr. Fisher was selected to serve as a director due to his investment banking expertise and his experience in directing equity investments in infrastructure assets.
Mr. Humphrey is a seasoned financial executive and social impact advocate with a 27-year career spanning investment banking, early-stage venture advising, and nonprofit leadership. After beginning his career in New York and Chicago with top-tier investment banks, he transitioned to advising and investing in companies that combine financial returns with social impact.
His expertise bridges strategy, finance, and innovation, making him a trusted advisor at both executive and board levels. Mr. Humphrey brings deep cross-industry knowledge in corporate governance, mergers and acquisitions, restructuring, and operational turnarounds. He has a proven ability to identify sustainable growth opportunities, solve complex business challenges, and build and retain high-performing teams.
Mr. Humphrey’s board experience includes serving as Lead Director of Heska Corporation (Nasdaq: HSKA) from 2018 to 2023 and as a director from 2017 to 2018. He also serves on the advisory boards of Bredan, Inc. (since 2019), Clariti Strategic Advisors Inc. (since 2019), and Age@Home (2021–2024). He currently serves on the boards of the Manifold Group (since 2024) and Investcorp North America (since 2022). His previous board roles include Fron & Center LLC (2018–2020), TerraVesco (2021–2022), and Bottles Waiting Inc. (2018–2021).
Mr. Humphrey is a member of the National Association of Corporate Directors (NACD). He holds a Bachelor of Science in Finance and Economics from the University of Arizona and a master’s degree in Public Policy and Administration from Northwestern University.
He was selected to serve as a director due to his broad board experience across multiple industries and his deep background in investment banking.
Mr. Boothby is a recognized leader in the energy sector, with a distinguished career spanning executive leadership, exploration, and global operations. He was named Chairman of Newfield Exploration Company in 2010, having previously served as President, Chief Executive Officer, and a member of the Board of Directors.
Mr. Boothby joined Newfield in 1999 and held key leadership positions, including Senior Vice President of Acquisitions and Business Development and Vice President of the Mid-Continent region, where he led the early development of the Woodford Shale play in southeastern Oklahoma. He also served as Managing Director of Newfield Exploration Australia Ltd., overseeing offshore operations in the Timor Sea.
Before joining Newfield, Mr. Boothby held technical and managerial roles at Cockrell Oil Corporation, British Gas, and Tenneco Oil Company. His contributions to the industry have been widely recognized, including receiving the Chief Roughneck Award in 2015 for exemplifying the highest ideals in the oil and gas sector.
Mr. Boothby currently serves on the Board of Directors of the American Petroleum Institute and holds leadership and advisory roles with the American Exploration & Production Council, the National Petroleum Council, and Louisiana State University’s Craft & Hawkins Department of Petroleum Engineering.
He earned a degree in Petroleum Engineering from Louisiana State University and an M.B.A. from Rice University. Mr. Boothby was selected to serve as a director due to his extensive business experience and deep expertise in oil and gas exploration and production.
